PolicyArc Early Access Beta — Terms of Service

These Terms of Service (“Terms”) govern your participation in the PolicyArc Early Access Beta Program (“Beta Program”) operated by IDENTOS Inc. (“IDENTOS”, “we”, “us”, or “our”). By accepting an invitation to the Beta Program or by accessing the PolicyArc platform (“Platform”) in a beta capacity, you agree to be bound by these Terms on behalf of yourself and, where applicable, your organisation (“you” or “Participant”).

1. Beta Status and “As-Is” Acknowledgment

The Platform is pre-release, beta software provided for evaluation and feedback purposes only. You acknowledge and agree that:

  • As-Is / As-Available. The Platform is provided strictly “as is” and “as available” without warranty of any kind, express or implied. IDENTOS makes no representation that the Platform is fit for any particular purpose, meets any quality standard, or is free of defects.
  • Bugs and Errors. The Platform may contain bugs, errors, inaccuracies, or security vulnerabilities that could cause system failures, data corruption, data loss, or other unexpected behaviour. You assume all risk arising from such defects.
  • No SLA. No uptime commitment, service level agreement (“SLA”), or support obligation applies during the Beta Program. The Platform may be unavailable at any time for any reason, including scheduled or unscheduled maintenance.
  • Feature Instability. Features may be incomplete, may change materially, or may be removed entirely without notice. IDENTOS makes no commitment that any feature present during the Beta Program will be included in any generally available (“GA”) release.

2. Eligibility and Invitations

Participation is by invitation only. Invitations are personal and non-transferable. IDENTOS reserves the right to accept, decline, or revoke any invitation at its sole discretion and at any time. You must be of legal age to enter into contracts in your jurisdiction, and where you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

3. No Fees; No Credit Card Required

Access to the Platform during the Beta Program is provided at no charge. No credit card or payment information is required to participate. The Beta Program is not a free tier or a free subscription — it is a time-limited evaluation program.

4. Feedback — IP Assignment and No Compensation

IDENTOS actively solicits your feedback, suggestions, bug reports, feature requests, and ideas (collectively, “Feedback”) as a core purpose of the Beta Program.

  • Ownership. All Feedback you provide becomes the sole and exclusive property of IDENTOS. To the extent any Feedback does not automatically vest in IDENTOS, you hereby irrevocably assign to IDENTOS all right, title, and interest in and to that Feedback, including all intellectual property rights worldwide.
  • Licence fallback. If any assignment is unenforceable, you grant IDENTOS a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, distribute, and commercialise the Feedback for any purpose without restriction.
  • No compensation. You will not receive any financial compensation, equity, credit, or other consideration for Feedback, regardless of whether IDENTOS incorporates it into the Platform, other products, or its business strategy.
  • No obligation to act. IDENTOS is under no obligation to use, acknowledge, respond to, or implement any Feedback you provide.

5. Right to Modify, Suspend, or Terminate

IDENTOS reserves the right, at any time and without prior notice, to:

  • Terminate or suspend access — IDENTOS may terminate or suspend any Participant’s access to the Beta Program at any time, for any reason or no reason, with or without notice.
  • Reset or wipe data — IDENTOS may reset the beta environment, delete all data, or make breaking changes to the Platform, APIs, or configuration at any time during the Beta Program. You should not rely on the Platform as the sole or authoritative store of any data.
  • Modify the Platform — IDENTOS may alter, restrict, or discontinue any feature, workflow, or API without prior notice.
  • End the Beta Program — IDENTOS may terminate the Beta Program in its entirety at any time.

6. Transition to General Availability

The Beta Program will end at a date determined by IDENTOS. At that point:

  • No automatic transition. Continued access to the Platform after the Beta Program ends will require entering into a commercial agreement or subscribing to a paid or free-tier plan at GA, if one is offered. There is no automatic rollover from the Beta Program.
  • Founder pricing. IDENTOS intends to offer Beta Program participants preferential “founder” pricing at GA. This is a statement of intent only and does not constitute a binding commitment. Any founder pricing offer will be communicated separately and will be subject to a separate agreement.
  • No obligation to release. IDENTOS is under no obligation to release a GA version of the Platform or any specific feature tested during the Beta Program.
  • Data at end of beta. IDENTOS will make reasonable efforts to provide Participants with notice and an opportunity to export their data before beta environment shutdown, but cannot guarantee data preservation.

7. Confidentiality

The Platform (including its features, UI, architecture, performance characteristics, and roadmap) and any non-public information shared by IDENTOS in connection with the Beta Program constitute “Confidential Information.” You agree to:

  • Keep all Confidential Information strictly confidential and not disclose it to any third party without IDENTOS’s prior written consent, except as required by law.
  • Not publish — screenshots, screen recordings, reviews, blog posts, social media posts, or other public commentary about the Platform or Beta Program without IDENTOS’s prior written permission.
  • Use Confidential Information solely for the purpose of evaluating and using the Platform within the Beta Program.

This obligation survives termination of your participation for a period of two (2) years.

8. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to reverse-engineer, decompile, disassemble, or derive the source code, underlying algorithms, or trade secrets from any part of the Platform.
  • Use knowledge gained from the Beta Program to build, assist in building, or contribute to any product or service that competes with the Platform.
  • Attempt to probe, scan, or test the vulnerability of the Platform or breach any security controls, unless IDENTOS has separately authorised a security assessment in writing.
  • Upload, transmit, or store any malicious code, malware, or content that infringes third-party intellectual property rights or violates applicable law.
  • Use the Platform to process data on behalf of third parties as a commercial service bureau without IDENTOS’s written consent.
  • Share your access credentials with any other person or organisation.

9. Connecting Corporate Assets

You may connect corporate systems, identity providers, resource servers, or other assets (“Corporate Assets”) to the Platform, subject to the following:

  • You represent that you have authority — or have obtained all necessary authorisations from your employer or organisation — to connect and operate those Corporate Assets on the Platform.
  • You are solely responsible for ensuring that connecting Corporate Assets complies with your organisation’s internal policies and applicable law.
  • Use test or sandbox environments. IDENTOS strongly recommends connecting only non-production, test, or sandbox systems during the Beta Program. You assume all risk associated with connecting production systems to pre-release software.
  • Regulated data. Do not connect systems or datasets containing personal health information, payment card data, or other data subject to heightened regulatory obligations (e.g., HIPAA, PCI-DSS, PIPEDA sensitive categories) unless you have obtained written confirmation from IDENTOS that appropriate controls are in place.

10. Data Privacy and Security

IDENTOS handles data you submit to or generate through the Platform in accordance with its Privacy Policy (available at identos.ca/privacy-policy). You retain ownership of your data. You grant IDENTOS a limited licence to process your data as necessary to operate and improve the Platform and Beta Program.

During the Beta Program, no formal Data Processing Agreement (“DPA”) is in place unless separately agreed in writing. Participants with regulatory DPA requirements should contact IDENTOS before connecting regulated data. IDENTOS applies commercially reasonable security controls to the Platform, but given its pre-release status, no specific security standard or certification is warranted.

Recommendation: Use only synthetic, anonymised, or non-sensitive test data during the Beta Program to minimise exposure in the event of a bug, misconfiguration, or data loss event.

11. Intellectual Property

IDENTOS retains all right, title, and interest in and to the Platform, including all intellectual property rights therein. These Terms do not grant you any ownership interest in the Platform. “PolicyArc” and “IDENTOS” are trademarks of IDENTOS Inc. and may not be used without prior written permission.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. IDENTOS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IDENTOS DOES NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS OR DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

  • Exclusion of consequential damages. IDENTOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF IDENTOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Cap on direct liability. IN NO EVENT SHALL IDENTOS’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.
  • Basis of the bargain. You acknowledge that IDENTOS has offered the Beta Program at no charge in reliance on these liability limitations and that they reflect a reasonable allocation of risk between the parties.

14. Changes to These Terms

IDENTOS may update these Terms from time to time. We will notify Participants of material changes by email or through the Platform at least fourteen (14) days before the revised Terms take effect. Continued access to the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to discontinue participation.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be resolved exclusively in the courts of Ontario, Canada. You irrevocably consent to the personal jurisdiction of those courts.

16. General

These Terms constitute the entire agreement between you and IDENTOS with respect to the Beta Program and supersede all prior or contemporaneous understandings. If any provision is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. IDENTOS’s failure to enforce any right or provision is not a waiver of that right. You may not assign or transfer these Terms without IDENTOS’s prior written consent. Sections 4, 7, 11, 12, 13, and 15 survive termination.
